Dutch Government Freezes Control of Nexperia, Wingtech Launches Legal Battle

The Dutch government has issued a ministerial order to Nexperia, a subsidiary of Wingtech Technology, prohibiting any adjustments to its global assets, intellectual property, or business operations for one year. Subsequently, three foreign executives at Nexperia sought emergency court measures, resulting in the suspension of Wingtech Chairman Zhang Xuezheng and the transfer of Nexperia’s management rights to an independent third-party trustee. Wingtech has effectively lost voting and governance control.

Wingtech issued a statement strongly opposing the move, accusing the Dutch government of political intervention under the guise of national security, which violates market economy principles. The company has initiated legal and diplomatic channels to challenge the order and restore its rights.

Nexperia, a key profit driver for Wingtech, reported 2024 revenue of RMB 14.7 billion with a gross margin exceeding 37%. While daily operations remain unaffected, the loss of control may lead to slower decision-making and hindered technology planning, creating long-term uncertainties.
